TERMS OF SERVICE AND BINDING USER AGREEMENT

Effective Date: November 1st 2025


LEGAL NOTICE — PLEASE READ CAREFULLY BEFORE USING THIS WEBSITE

THIS DOCUMENT CONSTITUTES A LEGALLY BINDING AGREEMENT BETWEEN YOU ("USER," "CUSTOMER," "PURCHASER," "YOU") AND PAWPERIMETER, LLC ("COMPANY," "WE," "US," "OUR"). BY ACCESSING, BROWSING, OR MAKING ANY PURCHASE ON THIS WEBSITE, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS OF SERVICE IN THEIR ENTIRETY, INCLUDING OUR RETURN AND REFUND POLICY, SHIPPING POLICY, AND PRIVACY POLICY, ALL OF WHICH ARE INCORPORATED HEREIN BY REFERENCE.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE USE OF THIS WEBSITE AND REFRAIN FROM COMPLETING ANY TRANSACTION.

FAILURE TO READ THESE TERMS DOES NOT EXEMPT YOU FROM BEING LEGALLY BOUND BY THEM.


ARTICLE I — DEFINITIONS

1.1 "Agreement" means these Terms of Service and all policies incorporated by reference.

1.2 "Transaction" means any purchase, order, or payment made through this website.

1.3 "Policy Acceptance Event" means the recorded timestamp, IP address, device information, and affirmative acknowledgment confirming User's acceptance of these terms at the time of checkout.

1.4 "Chargeback" means any dispute, reversal, or claim initiated through a bank, credit card issuer, PayPal, or any payment processor seeking to reverse or recover funds from a completed transaction.

1.5 "Final Sale" means a transaction that is non-refundable, non-returnable, non-exchangeable, and not subject to reversal or cancellation under any circumstances.

1.6 "Delivery Confirmation" means carrier tracking data indicating successful delivery to the address provided by Customer.


ARTICLE II — ELIGIBILITY AND CAPACITY

2.1 Age Requirement. You must be at least eighteen (18) years of age to use this website or make purchases.

2.2 Legal Capacity. By using this website or placing an order, you represent and warrant that you have the legal capacity to enter into binding contracts under applicable law.

2.3 Authority. If you are placing an order on behalf of a business entity, you represent that you have the authority to bind that entity to this Agreement.

2.4 Prohibited Users. Users who have previously violated these Terms, been banned from purchasing, or initiated bad-faith disputes are prohibited from using this website.


ARTICLE III — ACCEPTANCE OF TERMS

3.1 Binding Agreement. By accessing this website, creating an account, or completing a purchase, you enter into a legally binding contract with PawPerimeter, LLC.

3.2 Affirmative Consent. At checkout, you will be required to affirmatively acknowledge acceptance of these Terms by checking a confirmation box. This constitutes your electronic signature and agreement to be bound.

3.3 Record of Acceptance. PawPerimeter maintains records of your acceptance, including:

(a) Date and timestamp of agreement (UTC)

(b) IP address at time of acceptance

(c) Device and browser information

(d) Checkbox confirmation record

(e) Order confirmation email containing links to all policies

3.4 Admissibility. You agree that electronic records of your acceptance are legally equivalent to a signed written contract and are admissible as evidence of agreement in any dispute.

3.5 Incorporation by Reference. The following policies are incorporated into this Agreement by reference and have the same force and effect as if fully set forth herein:

(a) Return and Refund Policy

(b) Shipping Policy

(c) Privacy Policy

(d) Any additional terms displayed at checkout


ARTICLE IV — PRODUCTS, PRICING, AND AVAILABILITY

4.1 Product Availability. All products are subject to availability. We reserve the right to limit quantities, discontinue products, or restrict sales to any person or geographic region.

4.2 Pricing. Prices are subject to change without notice. The price displayed at the time of checkout governs the transaction.

4.3 Pricing Errors. We reserve the right to correct pricing errors at any time. If an error affects your order, we may cancel the order and refund any amount charged.

4.4 Product Descriptions. Product images are for illustration purposes only. Actual products may vary slightly in appearance. You are responsible for reviewing all product descriptions and specifications before purchasing.

4.5 No Guarantees Beyond Stated Terms. No guarantees, warranties, or representations are made beyond what is explicitly stated on the product page and in this Agreement.


ARTICLE V — ORDERS AND PAYMENT

5.1 Offer to Purchase. Placing an order constitutes an offer to purchase. This offer is not binding on PawPerimeter until we accept the order by processing payment and shipping the product.

5.2 Right to Decline. We reserve the right to accept or decline any order at our sole discretion, including but not limited to orders involving:

(a) Suspected fraud or abuse

(b) Pricing or product description errors

(c) Product unavailability

(d) Violation of these Terms

(e) Previous policy violations or bad-faith disputes

(f) Incomplete or inaccurate information

(g) Suspicious transaction patterns

5.3 Payment Terms. Full payment is due at the time of purchase. By submitting payment information, you represent and warrant that:

(a) You are authorized to use the payment method provided

(b) The payment information is accurate and complete

(c) You will not dispute the charge except as permitted under this Agreement

5.4 Currency. All transactions are processed in United States Dollars (USD).

5.5 Payment Processing. Payments are processed by third-party payment processors. PawPerimeter is not responsible for errors, delays, or failures caused by payment processors.


ARTICLE VI — SHIPPING AND DELIVERY

6.1 Shipping Policy Incorporation. Our Shipping Policy is incorporated herein by reference. By completing a purchase, you acknowledge and agree to all shipping terms.

6.2 Processing Time. Orders are typically processed within two to three (2–3) business days of payment confirmation.

6.3 Estimated Delivery. Estimated delivery time is seven to fourteen (7–14) business days after processing. Due to factors outside PawPerimeter's control, including but not limited to carrier delays, weather events, customs inspections, peak shipping seasons, global logistics disruptions, and routing errors, actual delivery may take up to forty-five (45) days.

6.4 Estimates Not Guarantees. ALL DELIVERY TIMEFRAMES ARE ESTIMATES ONLY AND DO NOT CONSTITUTE GUARANTEES. Customer expressly acknowledges and agrees that:

(a) Delivery dates are not guaranteed

(b) Shipping delays are common and expected

(c) Delays caused by carriers or external factors are outside PawPerimeter's control

(d) SHIPPING DELAYS ARE NOT GROUNDS FOR REFUNDS, RETURNS, CANCELLATIONS, OR CHARGEBACKS

6.5 Transfer of Risk. Risk of loss and title to products transfer to Customer upon tender of the shipment to the carrier. PawPerimeter's responsibility for the shipment ends at that point.

6.6 Delivery Confirmation. A shipment shall be deemed successfully delivered when tracking data shows delivery to the address provided by Customer. PawPerimeter is NOT responsible for:

(a) Packages marked as delivered by the carrier

(b) Theft, loss, or damage occurring after delivery confirmation

(c) Delivery to incorrect addresses provided by Customer

(d) Failed deliveries due to address errors, access issues, or recipient unavailability

(e) Packages refused or unclaimed by Customer

6.7 Customer Address Responsibility. Customer is solely responsible for providing accurate, complete shipping information. PawPerimeter is not liable for orders shipped to incorrect addresses provided by Customer.


ARTICLE VII — RETURNS, REFUNDS, AND FINAL SALE POLICY

7.1 Refund Policy Incorporation. Our Return and Refund Policy is incorporated herein by reference. By completing a purchase, you acknowledge and agree to all refund terms.

7.2 No General Return Right. PAWPERIMETER DOES NOT OFFER "NO QUESTIONS ASKED" RETURNS, SATISFACTION GUARANTEES, OR UNCONDITIONAL REFUND RIGHTS. All sales are final except as explicitly provided in our Return and Refund Policy.

7.3 Final Sale Items. ALL items purchased during any sale, promotion, discount, flash sale, clearance, bundle offer, or markdown are designated as ABSOLUTE FINAL SALE. For Final Sale items:

(a) No refunds under any circumstances

(b) No returns for any reason

(c) No exchanges

(d) No store credit

(e) No warranty claims

(f) No chargebacks — all chargebacks will be disputed

7.4 Performance-Based Guarantee. Any product guarantee offered is strictly PERFORMANCE-BASED and requires:

(a) Active use of the product

(b) Completion of required training protocol (minimum seven consecutive days)

(c) Compliance with official instructions

(d) Documented proof of proper use

(e) Claim submission within sixty (60) days of delivery confirmation

Buyer's remorse, failure to use the product, failure to complete training, and general dissatisfaction DO NOT qualify for refunds.

7.5 Resolution Discretion. If a claim is approved, PawPerimeter may, at its sole discretion, issue a refund OR provide a replacement OR offer an alternative resolution. Refunds are not guaranteed and are not the default resolution.


ARTICLE VIII — PRODUCT USE AND ASSUMPTION OF RISK

8.1 Sold As-Is. All products are sold "AS IS" and "AS AVAILABLE."

8.2 Variable Results. Results may vary based on proper use, individual circumstances, and adherence to instructions. PawPerimeter makes no guarantee of specific outcomes.

8.3 Customer Responsibility. Customer is solely responsible for:

(a) Proper setup and installation per provided instructions

(b) Proper use and operation of the product

(c) Following all training protocols and guidelines

(d) Ensuring the product is appropriate for their intended use

8.4 No Liability for Misuse. PawPerimeter is NOT liable for:

(a) Misuse of the product

(b) Improper setup or installation

(c) Failure to follow instructions

(d) Unintended outcomes resulting from improper use

(e) Injury, damage, or loss resulting from product use

8.5 Assumption of Risk. By purchasing and using PawPerimeter products, Customer assumes all risks associated with product use.


ARTICLE IX — CHARGEBACK AND DISPUTE PROHIBITION

9.1 Covenant Not to Dispute. BY COMPLETING A PURCHASE, YOU EXPRESSLY COVENANT AND AGREE NOT TO INITIATE ANY CHARGEBACK, PAYMENT DISPUTE, CLAIM, OR REVERSAL REQUEST WITH ANY BANK, CREDIT CARD ISSUER, PAYPAL, OR PAYMENT PROCESSOR FOR ANY OF THE FOLLOWING:

(a) Shipping delays within the disclosed forty-five (45) day delivery window

(b) Buyer's remorse or change of mind

(c) General dissatisfaction with the product

(d) Failure to read or understand product descriptions, policies, or instructions

(e) Failure to complete the required training protocol

(f) Disputes regarding product effectiveness without completing training requirements

(g) Delays caused by third-party shipping carriers

(h) Any purchase made during a sale, promotion, or discount event (Final Sale items)

(i) Packages showing delivered status in carrier tracking

(j) Any matter that does not qualify for refund under Article VII

(k) Any reason not explicitly authorized under this Agreement

9.2 Breach of Contract. Initiation of a chargeback in violation of this Agreement constitutes:

(a) A material breach of this binding contract

(b) Potential fraud

(c) Bad faith dealing

9.3 Chargeback Defense. PawPerimeter will DISPUTE ALL CHARGEBACKS with comprehensive evidence, including:

(a) Complete order records and transaction history

(b) Tracking information and delivery confirmation

(c) Policy Acceptance Event records (timestamp, IP address, checkbox confirmation)

(d) Complete customer communication records

(e) Product descriptions and specifications as displayed at purchase

(f) This Agreement as accepted by Customer

(g) Evidence of Customer's affirmative consent to these terms

(h) Any additional evidence demonstrating transaction validity

9.4 Consequences of Unauthorized Chargebacks. Customers who initiate chargebacks in violation of this Agreement may face:

(a) Permanent ban from all future purchases

(b) Reporting to payment processor fraud prevention databases

(c) Reporting to merchant fraud networks

(d) Collection efforts for any funds recovered plus associated fees and costs

(e) Legal action to recover damages, costs, and attorney's fees to the fullest extent permitted by law

9.5 Fraud Reporting. False claims of non-delivery, false claims of product defect, misrepresentation of facts, and chargebacks initiated in bad faith constitute fraud and may be reported to law enforcement and fraud prevention agencies.


ARTICLE X — PROHIBITED CONDUCT

10.1 Prohibited Activities. You agree NOT to:

(a) Use this website for any unlawful purpose

(b) Violate any applicable laws or regulations

(c) Attempt to gain unauthorized access to our systems, servers, or data

(d) Submit false, fraudulent, or misleading orders or information

(e) Initiate bad-faith chargebacks or disputes

(f) Make false claims of non-delivery or product defect

(g) Abuse return or guarantee policies

(h) Harass, threaten, or abuse PawPerimeter staff or representatives

(i) Misrepresent your identity, affiliation, or authority

(j) Interfere with the proper functioning of this website

(k) Use automated systems to access this website without permission

(l) Circumvent any security measures or access controls

10.2 Consequences. Violation of these prohibitions may result in immediate termination of access, order cancellation, permanent ban, and legal action.


ARTICLE XI — INTELLECTUAL PROPERTY

11.1 Ownership. All content on this website, including but not limited to text, graphics, logos, images, product designs, software, and trademarks, is the exclusive property of PawPerimeter, LLC and is protected by United States and international intellectual property laws.

11.2 Restrictions. You may not reproduce, distribute, modify, display, perform, transmit, or create derivative works from any content on this website without prior written permission from PawPerimeter.

11.3 Limited License. You are granted a limited, non-exclusive, non-transferable license to access and use this website for personal, non-commercial purposes only.


ARTICLE XII — DISCLAIMER OF WARRANTIES

12.1 As-Is Basis. ALL PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

12.2 Disclaimer. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAWPERIMETER EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

(a) IMPLIED WARRANTIES OF MERCHANTABILITY

(b) IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE

(c) IMPLIED WARRANTIES OF NON-INFRINGEMENT

(d) WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE

(e) WARRANTIES REGARDING ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT

12.3 No Guarantee. PawPerimeter does not warrant that products will meet your expectations, that results will be achieved, or that the website will be uninterrupted, secure, or error-free.


ARTICLE XIII — LIMITATION OF LIABILITY

13.1 Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PAWPERIMETER, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY:

(a) INDIRECT DAMAGES

(b) INCIDENTAL DAMAGES

(c) SPECIAL DAMAGES

(d) CONSEQUENTIAL DAMAGES

(e) PUNITIVE DAMAGES

(f) EXEMPLARY DAMAGES

(g) LOSS OF PROFITS, REVENUE, OR SAVINGS

(h) LOSS OF DATA OR GOODWILL

(i) PERSONAL INJURY (EXCEPT WHERE CAUSED BY GROSS NEGLIGENCE)

(j) ANY OTHER INTANGIBLE LOSSES

REGARDLESS OF THE CAUSE OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, AND REGARDLESS OF WHETHER PAWPERIMETER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.2 Maximum Liability. PAWPERIMETER'S TOTAL CUMULATIVE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT, ANY TRANSACTION, OR ANY PRODUCT SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY CUSTOMER FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

13.3 Third-Party Actions. PawPerimeter is not liable for any acts, omissions, delays, losses, damages, or failures caused by third parties, including shipping carriers, payment processors, and service providers.

13.4 Essential Purpose. THE LIMITATIONS IN THIS ARTICLE SHALL APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.


ARTICLE XIV — INDEMNIFICATION

14.1 Indemnification Obligation. You agree to indemnify, defend, and hold harmless PawPerimeter, LLC, its owners, officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, actions, damages, losses, costs, liabilities, and expenses (including reasonable attorney's fees) arising out of or related to:

(a) Your use of this website or any product

(b) Your breach of this Agreement

(c) Your violation of any law or regulation

(d) Your violation of any third-party rights

(e) Any dispute or claim you bring against PawPerimeter

(f) Any chargeback or payment dispute you initiate

(g) Any false or fraudulent claim you make


ARTICLE XV — DISPUTE RESOLUTION

15.1 Informal Resolution. Before initiating any formal dispute, you agree to contact PawPerimeter at support@pawperimeter.com and attempt to resolve the matter informally for at least thirty (30) days.

15.2 Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to this Agreement or any transaction that cannot be resolved informally shall be resolved exclusively through BINDING ARBITRATION administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

15.3 Arbitration Terms.

(a) Arbitration shall be conducted in the State of Delaware

(b) The arbitrator's decision shall be final and binding

(c) Judgment on the award may be entered in any court of competent jurisdiction

(d) Each party shall bear its own costs, unless the arbitrator determines otherwise

15.4 CLASS ACTION WAIVER. YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT, CLASS ARBITRATION, OR ANY OTHER REPRESENTATIVE OR CONSOLIDATED PROCEEDING.

15.5 Jury Waiver. TO THE EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATED TO THIS AGREEMENT.


ARTICLE XVI — RIGHT TO REFUSE SERVICE

16.1 Reservation of Rights. PawPerimeter reserves the absolute right, at its sole discretion, to:

(a) Refuse service to any individual or entity

(b) Decline or cancel any order

(c) Terminate any account

(d) Deny future purchases

(e) Restrict access to this website

16.2 Grounds for Refusal. Service may be refused for any reason, including but not limited to:

(a) Violation of these Terms

(b) Suspected fraud or abuse

(c) Previous policy violations

(d) Initiation of bad-faith disputes or chargebacks

(e) Abusive, threatening, or harassing behavior

(f) Providing false or misleading information


ARTICLE XVII — GENERAL PROVISIONS

17.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

17.2 Jurisdiction. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware. You consent to personal jurisdiction in such courts.

17.3 Entire Agreement. This Agreement, including all policies incorporated by reference, constitutes the entire agreement between you and PawPerimeter and supersedes all prior agreements, representations, and understandings.

17.4 Severability. If any provision of this Agreement is held invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17.5 No Waiver. Failure by PawPerimeter to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by PawPerimeter.

17.6 Assignment. You may not assign, transfer, or delegate any rights or obligations under this Agreement without PawPerimeter's prior written consent. PawPerimeter may freely assign this Agreement.

17.7 Headings. Section headings are for convenience only and shall not affect interpretation of this Agreement.

17.8 Survival. Provisions regarding limitation of liability, indemnification, dispute resolution, intellectual property, and any other provisions that by their nature should survive, shall survive termination of this Agreement.

17.9 Modification. PawPerimeter reserves the right to modify this Agreement at any time without prior notice. The version posted on the website at the time of your purchase governs that transaction. Continued use of this website constitutes acceptance of any modifications.

17.10 Electronic Communications. You consent to receive communications from PawPerimeter electronically. Electronic communications satisfy any legal requirement that communications be in writing.

ACKNOWLEDGMENT OF AGREEMENT

BY ACCESSING THIS WEBSITE, CREATING AN ACCOUNT, OR COMPLETING A PURCHASE, YOU ACKNOWLEDGE AND AGREE THAT:

(1) YOU HAVE READ THIS AGREEMENT IN ITS ENTIRETY BEFORE COMPLETING YOUR TRANSACTION

(2) YOU UNDERSTAND ALL TERMS, CONDITIONS, AND POLICIES SET FORTH HEREIN

(3) YOU VOLUNTARILY AGREE TO BE BOUND BY THIS AGREEMENT

(4) YOU UNDERSTAND THAT ALL SALES ARE FINAL EXCEPT AS EXPLICITLY PROVIDED

(5) YOU UNDERSTAND THAT PROMOTIONAL PURCHASES ARE NON-REFUNDABLE UNDER ANY CIRCUMSTANCES

(6) YOU WAIVE ANY EXPECTATION OF REFUND NOT EXPLICITLY AUTHORIZED

(7) YOU AGREE NOT TO INITIATE CHARGEBACKS OR DISPUTES EXCEPT AS PERMITTED

(8) YOU AGREE TO BINDING ARBITRATION AND WAIVE CLASS ACTION RIGHTS

(9) YOU HAVE THE LEGAL CAPACITY AND AUTHORITY TO ENTER THIS AGREEMENT

(10) THIS AGREEMENT IS LEGALLY BINDING AND ENFORCEABLE AGAINST YOU
